1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and NovaStack ("Company", "we", "us", "our") governing your use of the Microsoft Bing Shopping Feed application ("the App") and the website at bingfeed.novastack.co ("Website").
By installing the App from the Wix App Market or accessing the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not install or use the App.
If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Service Description
The App is a Wix application that automates the synchronization of product data from your Wix e-commerce store to your Microsoft Merchant Center catalog via the Microsoft Content API. The App enables your products to be listed in Microsoft Shopping campaigns on Bing, Yahoo, and partner search networks.
The App provides the following core functionalities:
- Automated product catalog synchronization from Wix to Microsoft Merchant Center
- Real-time and scheduled product updates via webhooks and polling
- Product variant management and feed configuration
- Analytics and sync status monitoring
- UET (Universal Event Tracking) tag integration (Growth and Pro plans)
We reserve the right to modify, add, or remove features of the App at any time, with reasonable notice when such changes materially affect existing functionality.
3. Account Requirements
To use the App, you must have:
- A valid Wix account with an active Wix Store connected to your site
- A valid Microsoft Advertising account (formerly Bing Ads)
- A Microsoft Merchant Center store (catalog) configured in your Microsoft Advertising account
- The authority and legal right to list the products in your Wix store for sale in the target markets
You are responsible for maintaining the security and validity of your Wix and Microsoft accounts. You must promptly notify us if you discover any unauthorized access to your App dashboard.
You must be at least 18 years old and legally capable of entering into binding contracts to use the App.
4. Pricing and Billing
4.1 Plans and Fees
The App is offered in the following plans: Free, Starter ($19/month), Growth ($39/month), and Pro ($79/month). Current pricing is displayed on our Pricing page and may be updated from time to time with 30 days' notice.
4.2 Billing via Wix
All paid subscriptions are billed through Wix Pricing Plans. You authorize Wix to charge your payment method on file on a monthly basis. NovaStack does not directly process or store your payment information. All billing disputes must be addressed through the Wix App Market billing system.
4.3 Free Plan
The Free plan is provided without charge. We reserve the right to modify or discontinue the Free plan with 30 days' written notice.
4.4 Upgrades and Downgrades
You may upgrade your plan at any time, with the new plan taking effect immediately. You may downgrade at any time; the downgrade takes effect at the start of the next billing period. No partial refunds are issued for unused time on a higher plan.
4.5 Refunds
Given the nature of digital services, we do not generally offer refunds for subscription fees already paid. If you believe you have been charged in error, please contact us within 30 days of the charge using our contact form.
5. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You must not:
- Sync products that violate Microsoft Advertising policies, including but not limited to counterfeit goods, adult content, dangerous products, or products prohibited in the target market
- Use the App to sync products you do not have the legal right to sell
- Attempt to circumvent plan limits through technical manipulation
- Reverse-engineer, decompile, or disassemble any part of the App
- Use the App in a way that could damage, disable, or impair our servers or the APIs of Wix or Microsoft
- Introduce malicious code, viruses, or harmful data through the App
- Resell or sublicense access to the App without our written consent
- Use automated scripts or bots to interact with the App dashboard beyond normal use
We reserve the right to suspend or terminate your access to the App if we determine, in our sole discretion, that you have violated any of these restrictions.
6. Intellectual Property
The App, including its source code, design, features, algorithms, and all associated intellectual property, is and remains the exclusive property of NovaStack and its licensors. These Terms do not grant you any ownership interest in the App.
Your Wix store data and product catalog remain your property. By using the App, you grant NovaStack a limited, non-exclusive license to access, process, and transmit your product data solely for the purpose of providing the sync service described herein.
The "NovaStack" and "Bing Shopping Feed" names and logos are trademarks of NovaStack. You may not use our trademarks without prior written permission.
7. Data Handling
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the data practices described in the Privacy Policy.
You retain ownership of all product data you submit through the App. You are responsible for ensuring that your product data complies with applicable laws and Microsoft's content policies.
8. Third-Party Services
The App integrates with third-party platforms, including Wix and Microsoft. Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or performance of third-party platforms, nor for changes to their APIs that may affect the App's functionality.
We will use commercially reasonable efforts to maintain compatibility with Wix and Microsoft APIs, but we cannot guarantee continuous compatibility as these platforms evolve.
9. Service Availability and Uptime
We strive to maintain 99.9% uptime for the App's synchronization services, measured on a monthly basis. However, we do not guarantee uninterrupted service.
Planned maintenance windows will be announced in advance when possible. We are not liable for downtime caused by:
- Outages or API changes by Wix or Microsoft
- Force majeure events (natural disasters, governmental actions, etc.)
- Internet infrastructure failures outside our control
- Scheduled maintenance
10. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVASTACK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the App will meet your specific requirements, that it will be error-free, or that your products will be approved by Microsoft or generate any particular advertising results.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOVASTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In any event, our total cumulative liability to you for all claims arising from or relating to these Terms or the App shall not exceed the total amount of subscription fees paid by you to NovaStack in the three (3) months immediately preceding the event giving rise to liability.
12. Indemnification
You agree to indemnify, defend, and hold harmless NovaStack and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the App in violation of these Terms; (b) your product data or content; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) your violation of applicable law.
13. Termination
Either party may terminate this agreement at any time:
- You may terminate by uninstalling the App from your Wix site. Your data will be deleted within 30 days of uninstallation.
- We may terminate or suspend your access immediately for violation of these Terms, non-payment, or if required by law.
Upon termination, all data we hold about your account will be deleted in accordance with our Privacy Policy. The provisions of Sections 6, 10, 11, 12, and 15 shall survive termination.
14. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and may notify you through the App dashboard or via the email address associated with your Wix account.
Your continued use of the App after changes are published constitutes acceptance of the revised Terms. If you do not accept the new Terms, you must stop using the App and uninstall it from your Wix site.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law provisions. Any dispute arising from these Terms or the App that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Switzerland.
Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for a period of at least 30 days.
16. General Provisions
- Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and NovaStack regarding the App.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force.
- Waiver: Failure to enforce any right under these Terms shall not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor entity.
